These General Terms and Conditions of Sale (T&Cs) govern the sale of services by DIGI WEB Solutions to its clients, in accordance with the provisions of Articles L. 111-1 et seq. of the French Consumer Code for consumers and L. 441-1 of the French Commercial Code for professionals.
Right of Withdrawal (Consumer clients): In the case of a remote contract signature, consumer clients have a 14-day period to withdraw (Article L. 221-18 of the French Consumer Code). However, pursuant to Article L. 221-28 (1° and 3°) of the same code, the right of withdrawal cannot be exercised for services fully executed before the end of the withdrawal period or for services customized according to the consumer's specifications (custom web development), once execution has started with the client's prior express consent.
Each project is subject to a free, customized quote, valid for 30 days. Unless otherwise stated, prices are indicated in euros and are net to be paid, as VAT is not applicable pursuant to Article 293 B of the French General Tax Code (CGI).
The order is confirmed by returning the signed quote marked "Bon pour accord" (Approved). Payments are made by bank transfer:
Late Payment: Under Article L. 441-10 (II) of the French Commercial Code (for professional B2B clients), any late payment will automatically result in late payment interest calculated at a rate of 10% of the total amount incl. tax, along with a mandatory fixed recovery fee of 40 euros (Article D. 441-5 of the French Commercial Code). The client's website or app may also be taken offline until regularized.
In the event of cancellation by the client after signing the quote and paying the deposit (excluding force majeure as defined in Article 1218 of the French Civil Code), the deposit will be retained by the service provider as compensation for work already started and prejudice suffered, in accordance with general contract law.
The smooth execution of the project requires active collaboration from the client, abiding by the duty of contractual loyalty (Article 1104 of the French Civil Code). Any delay by the client in providing required assets (texts, images) will result in a proportional shift in the delivery deadline, without engaging the service provider's liability.
In accordance with the French Intellectual Property Code (notably Articles L. 111-1 and L. 131-3), source code, designs, and developments remain the exclusive property of DIGI WEB Solutions until full payment of the invoice. Upon full payment, the economic rights of exploitation of the specific deliverables are transferred to the client. The service provider retains full ownership of any pre-existing generic code libraries used (frameworks, snippets, open-source or proprietary blocks).
In accordance with general principles of contract law (Articles 1101 and 1231-1 of the French Civil Code), the Service Provider is subject to an obligation of means ("obligation de moyens") in the execution of its digital services.
Its liability cannot be engaged for indirect damages (loss of revenue, loss of data) or in the event of malfunctions linked to external causes or third-party providers (hosting, external API outages, zero-day vulnerabilities, browser or OS updates).
In accordance with French Trade Secrets Law (Law No. 2018-670 of July 30, 2018), both parties undertake to maintain the strictest confidentiality regarding technical, commercial, or strategic data exchanged during the project.
These T&Cs are governed by French law. In the event of a dispute, in accordance with Article L. 612-1 of the French Consumer Code, consumer clients have the right to free recourse to a consumer mediator for an amicable resolution.
Failing an amicable agreement, disputes involving professional business clients shall be brought before the Commercial Court of Nevers (Article 48 of the French Code of Civil Procedure). For private consumers, the competent court will be determined according to common law rules (Article R. 631-3 of the French Consumer Code).
